PROFILE OF THE POSITION OF
DIRECTOR OF LEGAL AFFAIRS, DOCUMENTATION
AND COMMUNICATION
International position based in Yaoundé (Cameroon), 4-year contract
renewable once

 




 

MISSIONS
Under the responsibility of the Permanent Secretary, the Director of Legal Affairs, the
Documentation and Communication is responsible for:
– preparing draft agendas for meetings of the Conference of Heads
of State and Government and meetings of the Council of Ministers;
– the secretariat of the meetings of the Conference of Heads of State and Government and
of the meetings of the Council of Ministers;
– monitoring the development of draft Uniform Acts;
– the development of draft Uniform Acts;
– monitoring the evaluation and improvement of the Uniform Acts;
– drawing up draft regulations and decisions to be submitted to the Council of
Ministers;

 

 

– the publication of the official journal of OHADA;
– the legal monitoring of draft conventions and contracts to be concluded by OHADA
with third parties, within the framework of its activities, as well as the conservation and archiving of
these conventions and contracts;
– production and dissemination of regular information on the activities of the
Permanent Secretariat and the Council of Ministers;
– the supervision of seminars, symposiums and workshops relating to the popularization of law
uniform and promotion of the Organization;
– supervising the library of the Permanent Secretariat and the archives.
The details of these attributions are as follows:

 

Preparation of draft agendas for meetings of the Conference of Heads of State
and Government and meetings of the Council of Ministers
• identify the issues of capital importance to be submitted to the Conference ;
• identify the relevant questions to be submitted for examination by the Council of
Ministers (answers to questions already asked by the Council or to
instructions given by this body during its previous sessions; questions
requiring the approval of the Council or texts to be submitted to adoption)
;
• submit the issues identified to the Permanent Secretary for approval and
proposal to the State holding the Presidency;
• prepare all draft documents of a legal nature which will be dealt with by the
Conference or the Council of Ministers
Maintaining the secretariat of the meetings of the Conference of Heads of State and Government
and meetings of the Council of Ministers

• ensure, in relation with the direction in charge of the organization, the availability
of information and technical documents to be treated by the Conference or the
Council;
• ensure, in collaboration with the ad hoc rapporteurs chosen from the States
Parties, to the drafting of the final texts of the work of the Conference or the
Council of Ministers (report, declaration, final press release,
Uniform Acts, Regulations, decisions, motions, etc.);
• provide technical clarification in response to any questions from the
Conference or the Council.
Monitoring of the development of draft Uniform Acts
• prepare the terms of reference for the development of draft
Uniform Acts;
• identify technical and financial partners to support the implementation
of the project;
• choose, in collaboration with identified partners and following procedures
appropriate, the consultants responsible for supporting the drafting of the draft
Uniform Act;
• monitor and direct the development of the drafting (management of relations with the
consultant, the technical and financial partners, the steering committee if
necessary, etc.);
• receiving the deliverables (prior validation).
Preparation of draft Uniform Acts
• ensuring the transmission of the preliminary draft Uniform Act to the States Parties;
• collect, synthesize and analyze comments made by States Parties
;
• seek consensus around the main options of the draft
Uniform Act by convening, coordinating and conducting a meeting
plenary of the OHADA National Commissions of all the States Parties;
• ensure the overall consistency of the draft text (compared to the actual text of the
draft, with respect to existing Uniform Acts and with respect to the texts of
other regional, sub-regional or international organizations, so as to
avoid conflicting standards) ;
• write the report and the referral letter to the CCJA for an opinion;
• finalize the draft Uniform Act after consulting the CCJA, and propose its
inclusion on the agenda of the next meeting of the Council of Ministers
for adoption.
Monitoring of the evaluation and improvement of Uniform Acts
• Monitoring and evaluation of uniform law through direct observations of the
Permanent Secretariat: investigations with States, communication with the
general public (professional organisations, students, researchers, businessmen
, teachers, accountants, etc.).
• Monitoring and evaluation through studies
o development of ToRs for evaluation studies;
o recruitment of consultants;
o reception, analysis and use of study and evaluation reports;
o initiation of the appropriate corrective actions by proposing to the Council of
Ministers the decisions to be taken (corrective measures relating to
the environment of the application of the Uniform Acts which are linked to the

States, measures to improve or update the Uniform Acts taking into
account the objectives of OHADA, the international evolution
of economic and legal needs, etc.).
Preparation of draft regulations and decisions to be submitted to the Council of Ministers
• draft and propose for adoption by the Council of Ministers all draft regulations
or decisions for the implementation of the Treaty or ensure their
final form and content when they result from an expert study;
• write the decisions resulting from the deliberations of the Council of Ministers and
submit them for the signature of the President of the said Council.
Publication of the official journal of OHADA
• edition and publication of the official journal of OHADA
o compilation of documents to be published;
o development of the model;
o validation and issue of the proof to print (BAT);
o dissemination in the States (supervisory Ministries: justice and finance).
• dissemination of information on the OHADA site
o collection of information and documents to be published on the site
www.ohada.org;
o supervision of site content management.
• Development of other information media
o production of posters, leaflets and CD roms;
o making state flags and other banners for the occasion.
Legal monitoring of draft conventions and contracts to be concluded by OHADA with
third parties, within the framework of its activities, as well as the storage and archiving of these
agreements and contracts
• proposing the draft texts of agreements and ensuring
technical negotiation with a partner;
• assert the interests and technical points of view of OHADA in the
negotiation of agreements proposed by a partner;
• archive agreements and contracts.
Production and dissemination of regular information on the activities of the
Permanent Secretariat and the Council of Ministers
• ensure the publication in the Official Journal of decisions and important texts adopted by the
authorities of OHADA;
• ensure the dissemination, on the official website of OHADA and other sites
partners, of all the information relating to the life of the Organization within
the institutions and in the States.
Supervision of seminars, symposiums and workshops relating to the popularization of
uniform law and the promotion of the Organization
• draw up a costed multi-annual program of activities;
• develop annual projects and ToRs;
• search for technical and financial partners;
• coordinate and supervise the launching and holding of seminars, colloquia and
workshops;
• ensure the drafting of reports with experts and ad hoc rapporteurs.
Supervision of the Permanent Secretariat library and archives

• assess needs;
• order books;
• receive and manage the documentary base (codification,
movement management, inventory).
ACADEMIC AND PROFESSIONAL QUALIFICATIONS
The candidate must:
– hold at least a BAC+5 level diploma in legal sciences;
– justify a professional experience of at least ten (10) years acquired in
legal and judicial practice, and/or university teaching, legal advice
within a firm, a company, a public administration and/ or an
international organization;
– have a good ability to manage difficult situations, and an ability to work
in a multicultural professional environment;
– have a sense of initiative, organization and demonstrate great
availability;
– have a good ability to lead and work in a team;
– have good research skills and demonstrate
relevant administrative experience;
– have a good knowledge of French and one of the three other working languages
​​of the Organization, namely: English, Spanish and Portuguese;
– have a good experience in the use of common software (Word, Excel,
Power Point, Email and other IT communication tools).
ELIGIBILITY
Applicants must meet the following conditions:
– be aged 55 at most, on January 1, 2023;
– be a national of one of the 17 States Parties to the OHADA Treaty, namely: Benin,
Burkina Faso, Cameroon, Central African Republic, Comoros, Congo, Côte d’
Ivoire, Gabon, Guinea, Guinea-Bissau, Equatorial Guinea, Mali,
Niger, Democratic Republic of Congo, Senegal, Chad and Togo.
